Ann Bruzzese

Ann represents public entities and privately-owned companies regarding formation, reorganization, employment and operational matters.  Ann also advises clients regarding real estate transactions and property development.

• Advises local governmental entities, including the Durango Fire & Rescue Authority and San Juan Basin Health Department, regarding governance, compliance, general employer matters and contract negotiations

• Advises local employers regarding corporate/entity governance, strategic planning, and contract matters.  In addition, advise regarding general employer matters including employment contracts, independent contractor agreements, employer policies and procedures, and employment actions

• Advises business owners regarding entity selection, formation documents, structure issues, officer and director fiduciary duties, shareholder/member matters and contracts, contribution agreements, stock/ownership purchase and sale agreements and dissolution matters

• Advise both buyers and sellers regarding the purchase and sale of real property, title and survey review, and deed preparation

• Limited representation of developers in land use matters, zoning, processing of subdivision and land use applications, drafting of development documents and negotiation of development agreements

Personal

Ann grew up in Tucson, Arizona and was fortunate to visit Durango frequently during her childhood.  Prior to beginning her legal career, Ann worked as a teacher in Tucson and on the island of Saipan, located in the western Pacific.  Ann met her husband, David, while living on Saipan and eventually they made their way back to the United States to attend graduate school.   Before moving to Durango, Ann practiced law for several years in Phoenix at the firm Warner, Angle, Hallam, Jackson & Formanek, PLC.  Ann enjoys family, friends, dogs, hiking, biking and sunshine.
